  • "Hi Bruce,I am about to sign a licensing agreement and the Licensee states that as:  "The DESIGNER I am the sole owner of the Design. As such, the DESIGNER shall be solely liable for any infringement of the DESIGN on the rights of third parties. DESIGNER, expressly stipulates and agrees to indemnify and hold forever harmless LICENSEE, against any and all claims, demands or actions which may hereafter at any time be made or instituted against LICENSEE for the purpose of enforcing rights held or allegedly held in the Design. Furthermore, DESIGNER agrees to reimburse LICENSEE for reasonable attorney's fees incurred by LICENSEE to defend against any such claim, demand, or action."I feel this clause makes me very vulnerable. I would appreciate your feedback. "
